Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Kyaralabs ("Kyara Intelligence," "we," "us," or "our"), a company registered in France (SIREN: 994839926, VAT: FR25994839926), operating under the brand name Kyara Intelligence.

By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Description of Services

Kyara Intelligence provides a cloud-based API gateway that routes requests to third-party large language model (LLM) providers on your behalf. Our services include:

• Access to AI inference endpoints via an OpenAI-compatible API
• Monthly subscription plans granting a recurring compute allowance, measured in credits
• Optional one-time credit packs that add extra credits on top of your plan allowance

Kyara Intelligence acts solely as an intermediary between you and third-party model providers. We do not develop, train, or host AI models ourselves.

2. Eligibility

You must be at least 13 years old to use our services. If you are under 18 years of age, you must have your parent or guardian's permission to use the services. By creating an account, you represent and warrant that you meet this age requirement and that all information you provide during registration is accurate and complete. If you are using the services on behalf of an entity, organization, or company, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and API keys. You are fully responsible for all activity that occurs under your account or through your API keys. You must notify us immediately at [email protected] if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

4. API Keys and Usage

Upon registration, you may generate API keys to access our services. You agree to:

• Keep your API keys confidential and not share them publicly
• Not resell, sublicense, or redistribute access to our API to third parties as a competing service
• Not attempt to circumvent rate limits, credit caps, or other usage restrictions
• Not use automated means to create multiple accounts to obtain additional allowances or benefits

5. Subscriptions, Credits, and Payments

5.1 Subscription Plans

Access to our inference services requires an active subscription plan. Plans are billed monthly at the price displayed at the time of purchase and grant a recurring compute allowance, measured in credits, as described on our pricing page.

5.2 Automatic Renewal and Cancellation

Subscriptions renew automatically each month, and your payment method is charged at the start of each billing period until you cancel. You may cancel at any time from your billing dashboard; cancellation takes effect at the end of the current billing period, and you retain access to your plan until then. No partial refunds are issued for unused time or allowance in the current period, except where required by applicable law.

5.3 Plan Allowances

Your plan includes a weekly usage allowance. The allowance resets globally every Friday at 06:00 UTC. Unused allowance does not roll over, accumulate, or convert to cash; it expires at each reset. If your usage exceeds your available allowance (for example, when a request completes after the allowance is exhausted), the excess is deducted from your next weekly reset. Your allowance is also restored in full when your subscription renews or when you change plans. Current allowance amounts are described on our pricing page and may be adjusted with reasonable notice.

5.4 Credit Packs

One-time credit packs may be purchased while you hold an active subscription. Credits from credit packs do not expire unless your account is terminated, and are drawn from only after your plan allowance is exhausted. Credit packs are one-time purchases and do not renew automatically.

5.5 Payments and Price Changes

All purchases are processed through our payment provider. Prices are displayed at the time of purchase and charged in the currency indicated. If we change the price of your subscription plan, we will notify you at least 30 days before the change takes effect, and the new price will apply from your next renewal after that date. If you do not agree with a price change, you may cancel before it takes effect.

5.6 Refunds and Right of Withdrawal

Except where required by applicable law, all purchases are final and no refunds will be issued.

If you are a consumer residing in the European Union, you benefit from a statutory 14-day right of withdrawal for online purchases. By subscribing or purchasing credits, you expressly request that the service begin immediately and acknowledge that if you withdraw within the 14-day period, you may be charged a proportionate amount for the service already provided (including credits already consumed), and that the right of withdrawal is lost once the service has been fully performed. We may also, at our sole discretion, issue a refund or credit in exceptional circumstances even where not legally required. Contact us at [email protected] and we will review your request. Any such refund is a goodwill gesture and does not constitute a waiver of these Terms or an obligation to grant similar requests in the future.

5.7 Chargebacks and Payment Disputes

If you believe you have been charged in error, please contact us at [email protected] before initiating a chargeback or payment dispute with your bank or card issuer, so that we can investigate and resolve the issue. If you initiate a chargeback or dispute that we determine to be unwarranted, or without first giving us a reasonable opportunity to resolve it, we may suspend or permanently terminate your account, cancel any remaining credits, and refuse future purchases from you. We may also require repayment of the disputed amount and any dispute fees charged to us before restoring access. Nothing in this section limits any rights you have under applicable consumer protection law.

6. Privacy and Data Handling

6.1 Zero-Log Policy

Kyara Intelligence does not store, log, or retain the content of your API requests (prompts) or the responses generated by third-party models. Requests are proxied to model providers in real time and are not written to disk or any persistent storage on our infrastructure.

Kyara Intelligence records and retains only the minimum non-content API usage metadata necessary for the Service to function properly, such as the model used and the size or token count of a generated response. This metadata never includes the content of your prompts or generated responses.

6.2 Account Data

We collect and store only the minimum data necessary to operate your account: email address, hashed password, API key metadata, transaction history, and credit balance. This data is processed in accordance with our Privacy Policy.

6.3 Third-Party Providers

When you make an API request through Kyara Intelligence, your request is forwarded to the selected third-party model provider. Each provider has its own privacy policy and data handling practices. Kyara Intelligence is not responsible for how third-party providers process your data. We encourage you to review the privacy policies of the model providers you use.

7. Acceptable Use

You agree not to use our services to:

• Violate any applicable local, national, or international law or regulation
• Generate, distribute, or facilitate the creation of child sexual abuse material (CSAM) or any content that sexually exploits minors
• Engage in or facilitate fraud, identity theft, phishing, or any deceptive practice
• Infringe upon the intellectual property rights, privacy rights, or other rights of any third party
• Distribute malware, viruses, or any other harmful software
• Harass, threaten, stalk, or intimidate any individual
• Interfere with or disrupt the integrity or performance of our services or infrastructure
• Attempt to gain unauthorized access to our systems or the systems of our third-party providers
• Use our services for any purpose that constitutes a violation of applicable sanctions or export control laws

7.1 Enforcement

Kyara Intelligence does not proactively monitor the content of API requests or responses. However, we reserve the right to suspend or terminate your account if we become aware, through any means, that you are using our services in violation of these Terms or applicable law. We may cooperate with law enforcement authorities when required by law.

8. Service Availability and Limitations

8.1 Availability

We strive to maintain high availability of our services but do not guarantee uninterrupted or error-free operation. Our services are provided on an "as is" and "as available" basis.

8.2 Third-Party Dependencies

Our services depend on third-party model providers and infrastructure. We are not responsible for outages, errors, or changes in service by these providers. Model availability, performance, and capabilities may change without prior notice.

8.3 Rate Limits

We may impose rate limits on API requests based on your subscription plan and current system capacity. These limits may change at our discretion.

8.4 Modifications

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice where practicable. Credit balances will be honored or refunded in the event of a permanent service discontinuation.

9. Intellectual Property

All content, branding, software, and documentation associated with Kyara Intelligence are the property of Kyaralabs or its licensors. You are granted a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms.

You retain all rights to the content you submit through our API and to the outputs generated using our services, subject to any rights or restrictions imposed by the third-party model providers.

10. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Kyara Intelligence disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The outputs generated through our services will be accurate, complete, or reliable
• Our services will meet your specific requirements
• Our services will be available at all times without interruption

AI-generated outputs may contain errors, biases, or inaccuracies. You are solely responsible for evaluating and using any output generated through our services.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Kyara Intelligence shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you have paid to Kyara Intelligence in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or willful misconduct.

12. Indemnification

You agree to indemnify, defend, and hold harmless Kyara Intelligence, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of our services, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

13.1 By You

You may cancel your subscription at any time from your billing dashboard, and you may close your account at any time by contacting us at [email protected]. Unused credits will not be refunded upon voluntary termination, except where required by applicable law.

13.2 By Us

We may suspend or terminate your account immediately if you violate these Terms, if you initiate an unwarranted chargeback or payment dispute (see Section 5.7), if required by law, or if we discontinue our services. Where possible, we will provide notice before termination.

13.3 Effect of Termination

Upon termination, your access to our services will cease immediately. Any provisions of these Terms that by their nature should survive termination will remain in effect.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of our services after the effective date of any changes constitutes your acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of France. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Paris, France.

If you are a consumer residing in the European Union, you retain the benefit of any mandatory provisions of the law of your country of residence, and you may bring legal proceedings in the courts of your country of residence.

You may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kyara Intelligence regarding the use of our services and supersede any prior agreements or understandings.
